Article 1. The China Merchants Bank Dianjin Club (referred to as the Club hereinafter) has as its tenet to optimize the value for its clients, building smooth communications between the Bank and enterprises, enrich modes for business, and provide comprehensive, teamwork, professional and intimate services to its clients.
Article 2. The Club was established under the advocate of the China Merchants Bank and is organized and managed by this Bank.
Article 3. The Club has representations at all branches of the China Merchants Bank.
Article 4. The membership to the Club falls into two categories:

Institutional members: those who join the Club in the name of governmental departments, institutions, enterprises, and industrial organizations; |

Individual members: those who join the Club as individuals. |
Article 5. Both institutional members and individual members fall into two categories: national members and regional members. Each national member is naturally a regional member in the city where he/she/it is based. National members are entitled to participate in national activities, while regional members are entitled to participate in regional activities.
Article 6. Membership to the Club is subjected to the examination and approval of the Club authority according to certain standards and procedure.
Article 7. Members have the following rights:
1. Enjoy financial information services;
2. Readership to “CMB Fortune Dianjin Fund Management” Magazine;
3. Enjoy unique and customized fund management service provided by the China
Merchants Bank;
4. Priority to enjoy favorite treatment offered by the China Merchants Bank;
5. Senior officials of institutional members and individual members enjoy "Golden
Sunflower" fund management service provided by the China Merchants Bank;
6. Enjoy all sorts of theme activities hosted by the Club, with the right to give suggestions
on these activities;
7. Priority to be satisfied the demand for customized fund management service;
8. Membership rights of other clubs and industrial organizations allied with this Club.
Article 8. All membership rights are exclusive to an institutional member itself, or an individual member himself or herself.
Article 9. Members to this Club should abide by all laws and regulation of the State as well as articles in this Chapter; all members should actively participate in Club activities, and support the development of this Club.
Article 10. Membership to this Club can be revoked or suspended in case a member has one or more than one of the following conducts:
1. Breaching of articles contained in this Chapter;
2. Actively request to terminate his/her/its membership;
3. Other situation that the Club deems applicable.
Article 11. Membership Card represents a member' s identification. The Club is responsible for the designing, issuing and management of membership cards.
Article 12. Club activities include:
1. Academician activities: forum of all sorts, lecture, seminar and training, etc.;
2. Business activities: business favorite treatment, business reviewing, business consulting,
and business conventions and exhibitions, etc;
3. Gather-together: industrialist saloon, music concert, cocktail, golf games and other
entertainment and matches;
4. Activities associated with allied clubs and industrial organizations.
Article 13. The Council is the Supreme Authority of this Club. Secretary-general is the top administrative official of this Club, who is responsible to the Council.
Article 14. The Club has an administrative office in charge of the Club' s routine management.
Article 15. The China Merchants Bank has the uttermost right to explain and revise articles contained in this Chapter.
